There are two ways to update your corporation (including nonprofits) or limited liability company.
Updating your Assumed Business Name
Assumed Business Name information can be updated by filing the
ABN Amendment form.
Use the Annual Report to File Updates
The annual report is a yearly renewal where each business updates their registration with the Corporation Division and pays the renewal fee. (Assumed business names renew every two years.) When you renew online, your changes are filed within one business day.
Change Your Business Name
To change the name of your business, submit the Articles of Amendment form and its fee to our office. (Each entity type has its own form.) The business name is normally Article 1, so you simply write the new name in Section 2 of the form as you want it to read. For example, “Article 1 – new name is ABC Metals, LLC”.
To change the name of an Assumed Business Name, file the
ABN Amendment form with its fee.
Remember: There may be other agencies that need to be notified if you are changing your business name.
If you have an IRS tax ID number (EIN), follow their instructions for a business name change, and you will also want to notify your bank, and any other agency or city where your business is licensed.
If you have employees, (and a
BIN), use the
Business Change in Status form to notify the Employment Department, Department of Revenue, and Workers Compensation Division of your new business name. Call 503-945-8091, option 2 with questions.
Information to Consider When Changing Your Business Type
Change an Assumed Business Name into a Business Entity - Corporation, LLC, etc.
If you are registered with an Assumed Business Name but want to be filed as a corporation or LLC, you can
cancel your assumed business name registration and at the same time file your formation document, either articles of
incorporation or
organization. We will waive the fee to cancel the ABN, if you submit both documents together and the name of the ABN is the same as the new business entity.
If you prefer to keep your Assumed Business Name, you may
amend it by making its registrant/owner the new entity, and withdrawing the prior Registrant/Owner(s). This will allow use of the business name with or without the entity identifier (LLC, Inc., etc.).
Convert from One Type of Business Entity to Another
There are legal and financial consequences to changing your business type. Please consult an attorney or a CPA before making your change.
Reinstate a Business
If your business was "administratively dissolved" for failure to file the annual report, you can request to have it reinstated. Visit
