Restated Articles Form Instructions - Limited Liability Companies

The instructions are listed in numerical order to align with the form.
These instructions are intended for use when restating the original articles for limited liability companies. They supplement the instructions on the form itself.
  1. NAME OF THE LIMITED LIABILITY COMPANY:  Complete the existing name of the LLC.

  2. NEW NAME OF THE LIMITED LIABLITY COMPANY (if changed): This should only be completed if the business name is changing.

  3. A COPY OF THE RESTATED ARTICLES IS ATTACHED: It is required that the articles being restated are attached as a separate document.​

  4. CHECK THE APPROPRIATE STATEMENT:  How were the Restated Articles approved?  Choose one of the two options, and complete the information as required.

  5. PRINCIPAL PLACE OF BUSINESS:  The principal office may not be a PO Box, commercial mail receiving agency, a mail forwarding business, or a virtual office.

  6. INDIVIDUAL WITH DIRECT KNOWLEDGE:  List the name and address of at least one individual who is a member or manager of the LLC, or an authorized representative with direct knowledge of the operations and business activities of the LLC.

  7. EXECUTION:  This legal declaration must be signed. If another form is generated, this exact wording must be used. ​​​​​​​
