The instructions are listed in numerical order to align with the form. They supplement the instructions on the form itself.
These instructions are intended for use with Articles of Merger for multiple entity types including corporations and limited liability companies. The fee for Articles of Merger is based on the survivor entity.
NAMES AND TYPES OF THE ENTITIES PROPOSING TO MERGE: All entities that are merging must be included in this section. List the entity name, entity type and registry number (if applicable).
NAME AND TYPE OF SURVIVING ENTITY: Check the box if the survivor name is changing.
OREGON CORPORATION AND LIMITED LIABILITY REQUIREMENT: This section stipulates information required when the survivor is domestic to Oregon.
- The Principal Place of Business must be a street address; it may not be a PO Box, a commercial mail receiving agency, a mail forwarding business, or a virtual office.
- The Individual with Direct Knowledge is any authorized representative who knows what the business does. This address may be any business or mailing address.
SELECT ONE OF THE FOLLOWING: One of the first two selections is required.
The third selection, “State effective date and time…” stands on its own.
“The plan of merger was duly authorized…”: One of the two selections is required.
EXECUTION:
This legal declaration must be signed. If another form is generated, this exact wording must be used, unless the survivor is an LP, LLP, a Cooperative, or a Business Trust.
